1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between VaultCom Networks Incorporated (“VaultCom,” “we,” “us,” or “our”) and you (“Customer,” “you,” or “your”), including any entity you represent.

By accessing or using our Services, creating an account, executing an order form, or otherwise agreeing to these Terms, you confirm that you have the authority to bind your organization and agree to comply with these Terms.

IMPORTANT NOTICE: These Terms include binding arbitration, limitations of liability, and strict telecom compliance obligations.

2. Services Overview

VaultCom provides telecommunications and cloud communications services, including but not limited to:

  • Voice termination (inbound and outbound)
  • SIP trunking and DID provisioning
  • Unified Communications as a Service (UCaaS)
  • Contact Center as a Service (CCaaS)
  • AI voice and automation integrations
  • Carrier interconnection and routing services

(collectively, the “Services”).

VaultCom operates as a network operator, service provider, and platform enabler, interfacing with upstream carriers and downstream customers.

3. Privacy and Data Protection

3.1 Privacy Policy Integration

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference.

3.2 Data Roles

  • Customer is the Data Controller of all communications and end-user data
  • VaultCom acts as a Data Processor / Telecom Service Provider

Customer is solely responsible for:

  • Data collection legality
  • Consent and disclosures
  • Compliance with applicable privacy laws

3.3 Call Recording and Consent

Customer must comply with all applicable call recording laws, including one-party and two-party consent requirements.

VaultCom is not responsible for Customer’s failure to obtain required consent.

4. Telecom and Regulatory Compliance

4.1 Regulatory Obligations

Customer agrees to comply with all applicable telecommunications laws, including but not limited to:

  • Federal Communications Commission (FCC) regulations
  • Telephone Consumer Protection Act (TCPA)
  • TRACED Act
  • Do Not Call (DNC) regulations
  • Local and international telecom laws

4.2 Prohibited Traffic

Customer shall NOT use the Services for:

  • Illegal robocalls or spam traffic
  • Caller ID spoofing or deceptive practices
  • Unsolicited telemarketing without proper consent
  • Traffic resulting in excessive call blocking or complaints
  • Any activity deemed abusive by carriers or regulators

VaultCom enforces a zero-tolerance policy.

4.3 Carrier Compliance

Customer agrees to comply with requirements imposed by telecom networks and carriers, including:

  • AT&T
  • Verizon
  • T-Mobile

Carriers may:

  • Block or label calls
  • Restrict traffic
  • Apply filtering or reputation scoring

VaultCom has no control over carrier decisions.

4.4 STIR/SHAKEN Compliance

Customer must:

  • Use valid caller IDs
  • Maintain accurate call identity information
  • Support call authentication standards

Failure may result in call blocking or labeling.

5. Customer Responsibility, Compliance & High-Risk Use Policy

5.1 Full Customer Liability

Even if VaultCom provides support services (campaign setup, routing, optimization), Customer retains full responsibility and liability for:

  • All communications transmitted
  • Compliance with laws and regulations
  • Consent and opt-in management

5.2 No Compliance Warranty

VaultCom does not provide legal advice and does not guarantee compliance of any campaign, configuration, or traffic.

5.3 High-Risk Use Cases

VaultCom may classify certain traffic as High-Risk, including:

  • Cold calling / outbound telemarketing
  • Lead generation and affiliate traffic
  • Debt collection and financial services
  • Healthcare-related communications
  • Political campaigns
  • High-volume or complaint-prone traffic

5.4 KYC and Campaign Approval

VaultCom may require:

  • Business registration documents
  • Ownership verification
  • Campaign descriptions and scripts
  • Proof of consent
  • Traffic forecasts

VaultCom may approve, reject, or suspend any campaign at its discretion.

5.5 Indemnification

Customer agrees to defend, indemnify, and hold harmless VaultCom from any:

  • Regulatory fines or penalties
  • TCPA-related claims
  • Legal disputes arising from Customer traffic

5.6 Carrier Enforcement Disclaimer

VaultCom is not liable for:

  • Call blocking or filtering
  • “Spam Likely” labeling
  • Reduced performance or revenue

6. Acceptable Use

Customer agrees to use the Services only for lawful business purposes and shall not:

  • Engage in fraud or deception
  • Interfere with network operations
  • Abuse or exploit the platform

7. Third-Party Services

VaultCom integrates with third-party carriers and providers.

VaultCom is not responsible for:

  • Third-party outages
  • Routing failures outside its network
  • External service limitations

8. Fees and Billing

  • Services are billed based on usage (e.g., per-minute, per-channel, per-number)
  • Rates may change upon notice
  • Failure to pay may result in suspension

9. Service Availability

VaultCom provides carrier-grade infrastructure but does not guarantee:

  • Uninterrupted service
  • Error-free routing
  • Delivery success across all destinations

10. Intellectual Property

VaultCom retains all rights to its systems, platform, and network.

Customer retains ownership of its data.

11. Termination

VaultCom may immediately suspend or terminate Services if:

  • Customer violates telecom laws
  • Traffic is flagged or blocked
  • Customer breaches these Terms

12. Disclaimer of Warranties

Services are provided “as is” without warranties of any kind.

13. Limitation of Liability

VaultCom’s liability is limited to fees paid in the prior 12 months.

VaultCom is not liable for:

  • Carrier blocking
  • Lost profits or revenue
  • Regulatory penalties

14. Dispute Resolution

All disputes shall be resolved through binding arbitration on an individual basis.

15. Survival

All compliance, indemnification, and liability provisions survive termination.

16. General Terms

  • These Terms constitute the full agreement
  • Updates may be made with notice
  • Continued use constitutes acceptance
